Ownership. You retain all rights to any data, content, or information you submit to the Service ("User Content"). We do not claim ownership of your User Content.
License Grant. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, process, and store your User Content solely as necessary to provide and improve the Service.
No Training. We will not use your User Content to train machine learning models or artificial intelligence systems without your explicit consent.
Responsibility. You are solely responsible for your User Content and the consequences of posting or publishing it. You represent that you have all necessary rights to submit such content.
Prohibited Content. You may not submit content that contains sensitive personal information (such as Social Security numbers, financial account numbers, or health information protected by HIPAA) without appropriate safeguards and our prior written approval.
The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Elephantasm and its licensors. The Service is protected by copyright, trademark, and other laws.
Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.
Open Source Components. Certain components of the Elephantasm backend are released under open source licenses. Your use of such components is governed by the applicable open source license terms, which can be found in our public repository at github.com/hejijunhao/elephantasm-core.
Feedback. If you provide us with feedback, suggestions, or ideas about the Service, you grant us an unrestricted, perpetual, royalty-free license to use such feedback for any purpose without compensation to you.
The Service may integrate with or rely upon third-party services, including but not limited to:

We do not warrant that the Service will be compatible with all third-party services, and we may modify or discontinue integrations at any time.
The Service uses artificial intelligence to synthesize memories, extract knowledge, and generate content based on your data. You acknowledge and agree that:
You retain ownership of AI-generated content derived from your User Content, subject to any applicable third-party AI provider terms.
Your privacy is important to us. Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

You agree to defend, indemnify, and hold harmless Elephantasm and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:
Upon termination, your right to use the Service will immediately cease. You may request a copy of your data within 30 days of termination, after which we may delete your data.
The provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.
What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in San Francisco County, California, and you hereby consent to the personal jurisdiction and venue therein.
Informal Resolution. Before filing a claim against Elephantasm, you agree to try to resolve the dispute informally by contacting us. We will attempt to resolve the dispute informally by contacting you via email.
Arbitration. If we cannot resolve a dispute informally, any controversy or claim arising out of or relating to these Terms shall be settled by binding arbitration administered in accordance with the rules of JAMS. The arbitration shall be conducted in San Francisco, California, unless both parties agree otherwise.
Class Action Waiver. You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
Exceptions. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
Entire Agreement. These Terms constitute the entire agreement between you and Elephantasm regarding the Service and supersede all prior agreements and understandings.
Severability. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in effect.
Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
Force Majeure. We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control.
Export Control. You agree to comply with all applicable export control laws and regulations. The Service may not be used in countries subject to U.S. embargo or by persons on denied party lists.
